1. Introduction
Welcome to BiDora ("BiDora", "we", "our", "us").
BiDora is a digital agricultural marketplace platform that connects independent farmers ("Farmers") with buyers ("Buyers") for reservation-based agricultural offerings, including but not limited to durian farm visits, pre-orders, direct sales, and bulk purchases.
By accessing or using the BiDora platform ("Platform"), you agree to be bound by these Terms & Conditions.
If you do not agree, please do not use the Platform.
2. Role of BiDora
BiDora acts solely as a technology platform facilitating reservations and payments between Farmers and Buyers.
BiDora:
- Does not own, produce, or store agricultural products.
- Does not guarantee harvest quantity, quality, or availability.
- Is not the seller of goods listed on the Platform.
Each Farmer is solely responsible for:
- Accuracy of listings
- Product quality
- Fulfillment
- Compliance with applicable agricultural and food regulations
3. Account Registration
To use certain features of the Platform, users must create an account.
Users agree to:
- Provide accurate and complete information
- Maintain confidentiality of login credentials
- Be responsible for all activities under their account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Reservations & Payments
Farmers may configure packages to require:
- A deposit (e.g., 10–30% of total price), or
- Full upfront payment
Payment terms are displayed before checkout.
All payments are processed via third-party payment providers. BiDora does not store full credit/debit card details.
Payment captures the buyer's reservation amount. The reservation becomes confirmed when the Farmer explicitly confirms availability.
For pickup reservations, buyers should collect within the scheduled pickup date and any pickup deadline shown in the reservation. If the buyer cannot collect in time, they should contact support or request a pickup delay before the deadline. BiDora may automatically mark an eligible pickup reservation as completed after the configured grace period so the Farmer's payout can proceed.
After a pickup reservation is completed automatically, any later pickup arrangement is handled directly between the Buyer and the Farmer unless BiDora support accepts a valid issue within the applicable dispute window.
5. Cancellations & Refunds
Cancellation follows the reservation's payment and readiness state. The applicable figures are disclosed before a cancellation is confirmed and recorded with the transaction.
- Payment Received or Confirmed: While a paid reservation is Payment Received or Confirmed, you may cancel and receive the amount paid less the cancellation processing fee disclosed before payment. This fee is separate from payment-gateway costs and applies once per cancellation. Farmer confirmation may happen early and does not mean the produce has been prepared. The farmer receives no cancellation proceeds and BIDORA charges no platform fee at this stage.
- Ready, deposit reservation: Once a deposit reservation is Ready for Pickup or Ready for Delivery, the farmer has prepared and reserved the produce. If you cancel, 100% of the captured deposit is retained as a cancellation charge and no refund is issued. The unpaid balance is not collected. The captured deposit is credited to the farmer, less BIDORA's platform fee.
- Ready, full payment: Once a full-payment reservation is Ready for Pickup or Ready for Delivery, the farmer has prepared and reserved the produce. If you cancel, 100% of the captured payment is retained as a cancellation charge and no refund is issued. The captured payment is credited to the farmer, less BIDORA's platform fee.
- Farmer cancellation: If the farmer cancels the reservation, the buyer receives a refund of the full amount paid. The farmer is charged the cancellation processing fee plus the higher of the configured minimum handling charge or percentage charge. That debit is recovered from the farmer's future payout.
Where a refund is payable, BIDORA will review the request and normally completes the refund within 5–7 business days. You may need to provide bank-account details through BIDORA's secure refund form.
BiDora may facilitate refunds but is not liable for disputes between Farmers and Buyers. Dispute outcomes are handled through the same manual refund queue and may create the applicable farmer ledger adjustment.
6. Communication & Email Notifications
By creating an account or making a reservation, users consent to receive transactional communications from BiDora, including but not limited to:
- Account verification emails
- Password reset emails
- Reservation confirmations
- Payment confirmations
- Reservation reminders
These communications are strictly transactional and related to account activity or reservations.
BiDora does not send unsolicited marketing emails. Users will not be added to promotional mailing lists without explicit consent.
7. User Conduct
Users agree not to:
- Use the Platform for fraudulent or unlawful purposes
- Misrepresent products or identities
- Attempt to interfere with Platform security
- Circumvent payment processes
We reserve the right to remove listings or suspend accounts for violations.
8. Limitation of Liability
BiDora provides the Platform "as is" and does not guarantee uninterrupted availability.
BiDora shall not be liable for:
- Loss of profits
- Product dissatisfaction
- Harvest shortages
- Indirect or consequential damages
To the maximum extent permitted by law, BiDora's liability shall not exceed the platform fees collected in relation to the disputed reservation.
9. Data & Privacy
User data is stored securely using third-party infrastructure providers.
We collect only necessary information to:
- Operate accounts
- Process reservations and payments
- Send transactional communications
We do not sell personal data to third parties for marketing purposes.
A separate Privacy Policy may provide additional details.
10. Modifications
BiDora reserves the right to modify these Terms at any time. Continued use of the Platform constitutes acceptance of updated Terms.
11. Governing Law
These Terms shall be governed by the laws of Malaysia.
